Terms of Service

Effective September 9, 2026

Launch policy draft — review pending

Prepared for Spydr Technologies LLC. Owner-reported North Carolina LLC; registry and provider alignment require verification. These proposed launch terms are not activated. Purchases remain closed.

Refunds
No routine refunds after payment for monthly or annual subscriptions or listing packs, including unused time or listings. Exceptions remain for billing errors, refunds required by law, and service-failure refunds explicitly approved case by case.
Cancellation
Cancellation stops future renewal. Access continues through the paid period unless permanent account deletion is separately confirmed. Cancellation does not request permanent account deletion.
Permanent deletion
After permanent deletion is confirmed, account access is revoked immediately. Unnecessary account content, including original and edited photos, is removed from active systems within 7 days.
Support records
Support messages are retained for up to 90 days after deletion solely to resolve support issues or disputes, then deleted or irreversibly anonymized. Only the minimum records necessary for a documented unresolved dispute or legal obligation may be kept longer.
Financial records
Financial records follow a separate approved retention schedule and are not deleted indiscriminately. The seven-year schedule is approved for staging qualification; final public activation remains subject to review.
Recovery copies
Restricted recovery copies expire under the applicable provider retention policy. Provider-specific expiry remains unverified. Permanent deletion does not promise immediate erasure from backups or restoration of the deleted account.
Unused packs and deletion
Treatment of an unused listing-pack balance on permanent account deletion requires final review. Cancellation alone preserves that balance; active paid service is required to use it.
Cookies and this device
Sign-in and temporary eBay connection cookies support account access. Upload-recovery metadata and saved Photo Editor originals, edits and batch progress may remain in this browser on this device. Removing server account content cannot erase files you downloaded or browser data on an offline device; clear the relevant site data and local files yourself when needed. These local records are not advertising profiles.

Review revision: launch-review-2026-10-14-r2

These Terms of Service (“Terms”) govern your access to and use of Spydr, including the Spydr website, application, marketplace integrations, and related services (the “Service”). In these Terms, “Spydr,” “we,” “us,” and “our” refer to the operator of the Service. The Service is operated from North Carolina, United States.

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into binding agreements to use Spydr. If you use Spydr on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

2. What Spydr does

Spydr helps sellers organize inventory, generate and review listing information, prepare marketplace- specific listing drafts, connect supported marketplace accounts, verify supported listings, and perform marketplace actions that the seller explicitly authorizes. Features may change as the Service develops.

3. Accounts and security

You are responsible for maintaining the security of your account, connected marketplace accounts, and devices. You must provide accurate information and promptly notify us if you believe your account or a connected marketplace authorization has been compromised. You may not access another user's workspace or credentials without authorization.

4. Marketplace connections and authorization

When you connect a marketplace account, you authorize Spydr to use the permissions granted by that marketplace for the features you choose to use. Spydr may retrieve seller-account information, business policies, listing requirements, and other data needed to prepare or verify marketplace actions.

Publishing is seller-directed. Spydr will not intentionally publish a production marketplace listing without an explicit publish action associated with your account and the listing being submitted. You may disconnect supported marketplace accounts through the Service where that functionality is available.

5. Your responsibility for listings

You are the seller of record for listings published to your marketplace accounts. You are responsible for reviewing listing content before publication and for ensuring that your listings, products, prices, condition statements, shipping terms, taxes, returns, regulatory information, intellectual-property use, and seller practices comply with applicable law and marketplace rules.

Spydr may identify missing or unresolved information, but it cannot guarantee that every listing is complete, accurate, lawful, or accepted by a marketplace.

6. AI-generated and researched information

Some Spydr features use automated systems or AI to analyze photos, generate listing content, identify products, estimate attributes, or research market information. Automated outputs may be inaccurate, incomplete, outdated, or inappropriate for a particular item. You must review material listing details before relying on or publishing them. Spydr is designed to leave unsupported information unresolved rather than intentionally fabricate required facts, but no automated system is error-free.

7. Third-party services

Spydr integrates with third-party services such as authentication providers, hosting and database providers, AI providers, and online marketplaces including eBay. Those services are governed by their own terms, policies, availability, fees, and technical requirements. Spydr does not control third-party systems and is not responsible for outages, API changes, marketplace enforcement decisions, account restrictions, listing removals, or other actions taken by third parties.

8. Your content

You retain ownership of content you submit to Spydr, including inventory photos and seller-created listing information. You grant Spydr a limited, non-exclusive license to host, process, transform, reproduce, and transmit that content only as reasonably necessary to operate, secure, improve, and provide the Service and the marketplace actions you request.

You represent that you have the rights needed to upload and use your content and that doing so does not violate another person's rights or applicable law.

9. Acceptable use

You may not use Spydr to:

  • violate law, marketplace rules, sanctions, or another person's rights;
  • sell prohibited, counterfeit, stolen, or unlawfully obtained goods;
  • misrepresent an item, seller identity, authorization, or transaction;
  • attempt to access another tenant's data, credentials, or workspace;
  • probe, disrupt, reverse engineer, or circumvent Service security or usage controls; or
  • use the Service in a way that could damage Spydr, its providers, marketplaces, or other users.

10. Spydr intellectual property

The Service, including its software, design, branding, workflows, and non-user content, is owned by or licensed to Spydr and is protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.

11. Availability and changes

We may modify, suspend, limit, or discontinue features as needed for security, compliance, maintenance, provider changes, or product development. We do not guarantee uninterrupted or error-free availability, and marketplace integrations may become unavailable without notice due to third-party changes.

12. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe there is a security risk, violation of these Terms, unlawful activity, abuse of third-party services, or other conduct that could harm users, Spydr, or a marketplace. Sections that by their nature should survive termination will remain in effect.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. Spydr does not warrant that generated content, research, marketplace data, verification results, pricing information, or publication outcomes will be accurate, complete, uninterrupted, or accepted by a third party.

14. Limitation of liability

To the fullest extent permitted by law, Spydr and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost inventory value, marketplace penalties, or business interruption arising from or related to the Service. To the fullest extent permitted by law, aggregate liability for claims relating to the Service will not exceed the greater of $100 or the amount you paid to Spydr for the Service during the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

15. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any dispute that must be brought in court will be subject to the jurisdiction and venue required by applicable law.

16. Changes to these Terms

We may update these Terms as the Service evolves. If a change is material, we will provide reasonable notice through the Service or another appropriate method. Continued use after the updated Terms take effect means you accept the revised Terms to the extent permitted by law.
